Business
The firm can assist most businesses in their transactional legal matters from the startup phase through the exit stage, including acting as outside corporate counsel and assisting in business organization, reorganization and sale. Business formation representation includes entity formation and drafting necessary corporate and company agreements, such as shareholders agreements, operating agreements, and buy-sell agreements. Business representation includes drafting and advising on business contracts such as vendor and contractor agreements, employment agreements, confidentiality and non-compete agreements, franchising agreements, and establishing employee incentive and ownership plans.
Real Estate
The firm’s real estate practice handles most matters pertaining to the acquisition, development and disposition of commercial and residential real estate, with an emphasis on multi-familly development and hospitality. This representation includes title review and cure of title defects, and drafting and review of real estate sales contracts and finance documents. The firm can also assist clients in the drafting and review of leases, the formation and representation of common interest communities, and zoning and land use issues.

Private Equity
The firm represents investors, sponsors and capital partners in a variety of private equity transactions, with an emphasis on private equity transactions in the real estate sector. Such transactions may include senior debt, mezzanine debt, venture capital and direct capital investment. In representation of sponsors, the firm assists in creation of documents evidencing the equity and debt structure and the documents and structure required to raise the necessary equity. The firm also represents investors in review and negotiation of private equity investment in all industries, including real estate and technology, in the startup phase and later phases. Representation of startup companies includes assisting in documentation of first round financing and subsequent rounds of financing, including recapitalizations and convertible note transactions.
Finance
The firm represents lenders in drafting loan documents and ensuring security interests are properly granted and perfected. This representation includes assisting lenders in real estate transactions (including seller finance transactions) and representation of lenders in asset-based loan transactions (including equipment finance). In addition, the firm represents borrowers in review and negotiation of loan documents.

The firm can assist businesses with drafting, reviewing, negotiating and interpreting a wide range of domestic and cross-jurisdictional commercial contracts such as procurement agreements, non-disclosure agreements, master framework supply agreements, distribution and agency agreements, outsourcing agreements, service agreements, product development agreements, financing agreements, licensing agreements, leases and other contractual arrangements. From a technology transaction perspective, the firm has experience with, and can assist its clients with, drafting, reviewing, negotiating and interpreting website terms and conditions, IT Infrastructure, SaaS, cloud computing, IT outsourcing, professional and consultancy services, blockchain, market data, software development, payment systems, open source arrangements and software maintenance agreements.

Marty Cochran was born in Atlanta, Georgia and grew up in the small town of West Plains, Missouri. Mr. Cochran attended college at the University of Georgia in Athens, Georgia and Missouri State University in Springfield, Missouri where he received a Bachelor's Degree in Finance from the Honor's College. Mr. Cochran then attended law school at the University of Missouri in Columbia, Missouri where he received a Juris Doctorate. At the University of Missouri, Mr. Cochran was awarded the Allen H. Parke Award for Trial Advocacy and the University of Missouri Trial Practice Award. Mr. Cochran went on to earn an LL.M. (Master's in Law) in International Taxation and Finance from Regent University in Virginia Beach, Virginia.
Prior to starting The Law Office of E.M. Cochran, LLC, Mr. Cochran spent nearly ten years as a partner and associate with the firm of Campbell Killin Brittan & Ray, LLC in Denver, Colorado representing a number of sophisticated clients in complex transactions. In addition, Mr. Cochran was previously a partner at the firm of Culpepper Cochran & Harris, LLC in Denver, Colorado and an associate at the law firm of Davis, Susan & Holder, LLC in Columbia, Missouri. While pursuing his LL.M., he was an extern with the Inland Revenue Department of New Zealand in Wellington, New Zealand.

Mr. Cochran is admitted to practice in Missouri and Colorado and is a member of the Missouri Bar Association, the Colorado Bar Association and the Denver Bar Association.

When not helping his clients pursue their dreams and goals, Mr. Cochran enjoys spending time with his wife and son and the family dog, Bruno. Mr. Cochran is also an avid fly fisher, skier, snowboarder and outdoorsman.
Mr. Cochran also serves on the Board of Directors for World Child Cancer USA, a charity focused on improving cancer diagnosis, treatment and care for children, and their families, across the developing world.
